1. Overview

These Terms and Conditions govern participation in the Rork Media, Inc. Affiliate Program (“Program”). By enrolling, you agree to comply with these Terms, which protect both you and Rork Media, Inc. (“Rork Media,” “we,” “us”).

2. Commission Structure

Affiliates earn commissions on qualifying ticket sales as follows:

• 10% commission on Scuba Show Long Beach ticket sales.
• 20% commission on Scuba Show Atlantic City ticket sales.
• Commissions are calculated on the net sale amount, excluding taxes, fees, discounts, chargebacks, and refunds.
• One (1) complimentary Weekend Pass will be awarded for every three hundred dollars (US $300) in verified sales. The issuance of complimentary passes is limited to a maximum of two (2) per individual or entity.

3. Tracking & Attribution

• The tracking period is 30 days from the initial click.
• We use last-click attribution: the affiliate whose link was last clicked before purchase receives credit.
• Tracking relies on cookies and/or similar technologies; if disabled or cleared by users, tracking may not function properly.
• In the event of technical issues, our internal records will determine attribution in good faith.

4. Payment Terms

• Payouts are issued net 15 days after the closing of the Atlantic City Show.
• Payment methods: as configured in your affiliate account (e.g., ACH, PayPal, or other approved methods).
• Minimum payout threshold: $10 (USD). Balances below $10 roll over to the next payment period.
• You are responsible for accurate payment and tax information (including any required W-8/W-9). We are not liable for delays due to incorrect or incomplete details.
• We may hold or adjust payments in cases of suspected fraud, excessive chargebacks, or policy violations.

5. Promotional Guidelines

• Represent Rork Media’s brands professionally and accurately. No misleading, deceptive, or unsubstantiated claims.
• Disclose affiliate relationships clearly and conspicuously where required (e.g., FTC guidelines).
• Do not use spam, unsolicited bulk messaging, cookie-stuffing, forced clicks, or adware/toolbar injections.
• Do not register domains or social handles that are confusingly similar to our trademarks or show names.
• Paid search: no bidding on Rork Media or show trademarks/brand names without prior written consent.
• Always comply with applicable laws, platform rules, and advertising policies.

6. Prohibited Conduct

• Fraudulent, abusive, or otherwise unlawful activity.
• Misrepresentation as an employee, agent, or exclusive partner of Rork Media.
• Use of coupons or offers not expressly provided or authorised by Rork Media.
• Incentivised clicks or purchases that distort genuine user intent.

7. Term & Termination

• These Terms commence upon your enrollment and continue until terminated.
• Rork Media may suspend or terminate participation with or without cause, including for breach of these Terms.
• You may terminate participation at any time by written notice. Qualified, unpaid commissions earned prior to termination will be paid on the next scheduled payment date.

8. Modifications

We may update these Terms at any time. Notice may be provided via the affiliate portal, email, or page updates. Continued participation after changes constitutes acceptance of the revised Terms.

9. Publicity & Intellectual Property

• During participation, we grant you a limited, revocable, non-exclusive, non-transferable licence to use Program materials solely to promote Rork Media in compliance with these Terms.
• All rights in our brands, content, and creative assets remain with Rork Media.

10. Privacy & Data

• You must handle personal data in compliance with applicable privacy laws and our policies.
• Do not collect or store sensitive personal data from referred users beyond what is reasonably necessary for lawful marketing and attribution.

11. Disclaimers & Limitation of Liability

• The Program and tracking technologies are provided “as is.” We make no warranties of uninterrupted or error-free operation.
• To the fullest extent permitted by law, Rork Media is not liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits, even if advised of the possibility.
• Our aggregate liability under these Terms will not exceed the total commissions paid to you in the six (6) months preceding the event giving rise to the claim.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
